YAWI Mobile App MVP Terms and Conditions

You Are Worth It (YAWI)

Welcome to You Are Worth It (YAWI). These Terms and Conditions, these "Terms," govern your access to and use of the YAWI mobile application, the YAWI website, and any related content, features, tools, communications, and services we make available, collectively, the "Services." The Services are operated by As You Wish Software, Inc., referred to in these Terms as "YAWI," "we," "us," or "our."

By downloading, accessing, browsing, registering for, or using the Services, you agree to be bound by these Terms and our Privacy Policy, which explains how we collect, use, disclose, and protect your information and is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 13 years old to use the Services.

By using the Services, you represent and warrant that: (a) you are at least 16 years old, (b) you have the legal capacity to agree to these Terms, (c) the information you provide to us is accurate and current, and (d) your use of the Services complies with applicable law.

If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. About YAWI

YAWI is a general wellness and lifestyle tracking platform designed to support personal awareness, healthier routines, and sustainable habit-building.

Depending on the version of the app or Services you use, YAWI may include features related to nutrition and meal tracking, journaling and self-reflection, movement and activity tracking, sleep, energy, gratitude, attitude, and free-time tracking, progress and calendar views, supportive prompts, insights, or “Glimmers,” and optional coach-related features.

YAWI is intended for general wellness, habit awareness, education, and lifestyle support only.

3. No Medical Advice or Emergency Services

YAWI does not provide medical advice, mental health treatment, diagnosis, clinical care, or emergency services.

Nothing in the Services, including content, tracking tools, progress information, wellness prompts, insights, coach interactions, or other materials, is intended to diagnose, treat, cure, monitor, or prevent any disease or medical condition.

You should always seek the advice of a qualified healthcare professional regarding any medical or mental health concern. Never disregard professional advice or delay seeking it because of something you read, track, or receive through the Services.

If you believe you are experiencing a medical or mental health emergency, call 911 or your local emergency provider immediately.

4. Account Registration and Security

Certain features may require you to create an account.

When creating or maintaining an account, you agree to: provide truthful, accurate, and complete information; keep your account information updated; maintain the confidentiality of your login credentials; and accept responsibility for all activity that occurs under your account.

You must notify us promptly if you suspect unauthorized use of your account or any security breach affecting the Services.

We reserve the right to suspend or terminate accounts that contain false information, are used in violation of these Terms, or present risk to the Services, our users, or our business.

5. Privacy Policy

Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, store, share, and protect information, including account details, user-submitted content, and app usage information.

By using the Services, you acknowledge that we may process information as described in the Privacy Policy.

6. License to Use the Services

Subject to these Terms, YAWI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, lawful, non-commercial use.

This license does not give you any ownership rights in the Services or in any YAWI content, software, branding, or intellectual property.

You may not copy, reproduce, distribute, republish, display, or commercially exploit the Services; modify, adapt, translate, or create derivative works from the Services; reverse engineer, decompile, disassemble, or attempt to discover source code or underlying models, systems, or logic; scrape, crawl, harvest, or extract data from the Services; interfere with the operation or security of the Services; use the Services to build, benchmark, or train a competing product; remove copyright, trademark, or proprietary notices; or access the Services through unauthorized means.

All rights not expressly granted are reserved by YAWI.

7. User Content

The Services may allow you to upload, enter, store, generate, or share information, including journal entries, reflections, notes, wellness logs, profile data, messages, images, feedback, and similar content, collectively, “User Content.”

You retain ownership of your User Content, subject to the rights you grant to us in these Terms.

By submitting or making User Content available through the Services, you grant YAWI a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, reproduce, adapt, modify, display, transmit, process, and otherwise use that User Content as necessary to operate and provide the Services, personalize your experience, maintain and improve the Services, provide support, enforce these Terms, protect the integrity and security of the Services, and comply with legal obligations.

You represent and warrant that you own or control the rights necessary to provide the User Content; your User Content does not violate these Terms, any law, or any third-party rights; and your User Content is not false, fraudulent, defamatory, abusive, obscene, harassing, or otherwise unlawful.

We may remove or restrict User Content at our discretion if we believe it violates these Terms, applicable law, or the safety or integrity of the Services.

8. Coach-Related Features

YAWI may offer features that allow users to connect with a coach, wellness professional, guide, or similar support provider.

Unless expressly stated otherwise in writing by YAWI, coaches are independent third parties, coaches are not employees, agents, or representatives of YAWI, YAWI does not guarantee the qualifications, credentials, conduct, or advice of any coach, and coaching provided through or in connection with the Services is not medical, psychiatric, psychological, or clinical care.

Any relationship, communication, or service arrangement between you and a coach may be subject to separate terms.

YAWI is not responsible for disputes, claims, injuries, losses, or damages arising from your interactions with any coach or third party.

9. Payments, Purchases, and Subscriptions

Some features of the Services may be free, while others may require payment, subscription, or in-app purchase.

If you purchase a paid service, you agree that you will pay all applicable fees, taxes, and charges; recurring subscriptions may renew automatically unless canceled; pricing and billing terms presented at the time of purchase apply; and refunds are provided only where required by law or expressly stated by us or the applicable app marketplace.

If you subscribe through Apple App Store, Google Play, or another third-party platform, your billing relationship may also be governed by that platform’s terms and conditions.

10. Acceptable Use

You agree not to use the Services to violate any law or regulation, infringe the rights of others, upload malware or harmful material, harass or exploit any person, transmit spam or unauthorized advertising, gain unauthorized access to accounts or systems, interfere with the operation of the Services, misuse any community or support feature, submit misleading information, or copy or misuse YAWI content, prompts, methods, frameworks, or branding.

We may investigate potential violations and take any action we consider appropriate.

11. Advertisements and Third-Party Services

The Services may contain advertisements, links, integrations, or references to third-party websites, services, products, or content.

We do not control and are not responsible for third-party services, including their content, policies, availability, data practices, or conduct. Your dealings with third parties are solely between you and the third party.

12. Intellectual Property

The Services, and all content and materials made available through them, are owned by or licensed to As You Wish Software, Inc. and are protected by copyright, trademark, trade secret, patent, and other applicable laws.

This includes, without limitation, the YAWI name, logos, marks, slogans, and branding; text, graphics, designs, layouts, and visual elements; software, source code, object code, workflows, architecture, and interfaces; app features, dashboards, prompts, Glimmers, content libraries, and methodologies; scoring logic, structure, organization, compilations, and derivative works.

Except as expressly stated in these Terms, nothing grants you any right, title, or interest in or to the Services or YAWI intellectual property.

If you submit suggestions, ideas, feature requests, comments, or other feedback regarding the Services, you grant YAWI a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable right to use and exploit that feedback for any lawful purpose without compensation or attribution.

13. Copyright and Infringement Concerns

If you believe content available through the Services infringes your copyright, trademark, or other intellectual property rights, please send a written notice to As You Wish Software, Inc., Attn: Legal / IP Notices, 9565 SW Caulfield Ln, Port Orchard, WA, 98367.

Your notice should include your full name and contact information; a description of the intellectual property at issue; a description of the allegedly infringing material and where it appears; a statement of your good-faith belief that the use is not authorized; a statement that the information in your notice is accurate; and your signature or electronic signature.

14. Monitoring and Enforcement

We reserve the right, but not the obligation, to monitor use of the Services, review reported conduct, investigate suspected violations, and take any action we deem appropriate, including removing content, restricting features, suspending or terminating accounts, preserving records, reporting conduct to authorities, and pursuing legal remedies.

15. Termination

We may suspend, limit, or terminate your access to the Services at any time, with or without notice, if you violate these Terms, create legal, reputational, operational, or security risk, we reasonably believe your conduct harms users, third parties, or YAWI, or we discontinue the Services or any portion of them.

You may stop using the Services at any time.

Upon termination, provisions that by their nature should survive will continue to apply, including provisions related to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and enforcement.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

YAWI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

We do not warrant that the Services will meet your expectations or needs, will always be available or function without interruption, that tracking information, insights, reminders, or prompts will be accurate or suitable for your circumstances, or that any content, coach interaction, or third-party integration will lead to any particular result.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AS YOU WISH SOFTWARE, INC., ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF YAWI FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO YAWI IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (2) FIFTY U.S. DOLLARS ($50).

Some jurisdictions do not allow certain disclaimers or limitations, so some parts of this section may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless As You Wish Software, Inc., its affiliates, licensors, service providers, officers, directors, employees, contractors, and agents from and against any claims, actions, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use or misuse of the Services, your User Content, your violation of these Terms, your violation of any law or third-party rights, or your interactions with coaches, users, or third parties.

19. Changes to the Services

We may change, update, suspend, or discontinue all or any part of the Services at any time, with or without notice.

We may also update the Services to improve functionality, address bugs, enhance security, or comply with legal or operational requirements.

20. Changes to These Terms

We may revise these Terms from time to time.

If we make material changes, we may provide notice by posting updated Terms on our website or through the Services and updating the Effective Date or Last Updated date above. Your continued use of the Services after revised Terms become effective means you accept the updated Terms.

We encourage you to review these Terms and our Privacy Policy periodically.

21. Governing Law

These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in [Insert County, State], and you consent to the jurisdiction and venue of those courts.

22. Optional Arbitration and Class Action Waiver

You and YAWI agree that, except for claims involving intellectual property, unauthorized access, or requests for injunctive relief, disputes arising from these Terms or the Services will be resolved through binding individual arbitration and not in court. You and YAWI further waive any right to participate in a class action or class-wide arbitration.

23. Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, the remaining provisions will remain in full force and effect.

24. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented for specific features, purchases, or programs, constitute the entire agreement between you and YAWI regarding the Services and supersede prior agreements or understandings relating to the Services.
